These Terms of Service (the “Agreement”) constitute a legally binding contract between users (“User,” “you,” or “your”) and the service provider (“Provider,” “we,” or “us”) governing access to and use of web-based services, including any content, functionality, and features offered on or through the website. By accessing, browsing, or using services, users agree to be bound by all terms, conditions, policies, and notices contained or referenced herein. If you do not agree with any portion of these terms, you must immediately cease all use of the services.

1. Acceptance of Terms: Users affirm that they are of legal age to form a binding contract and possess the right, authority, and capacity to enter into this Agreement. Users agree to comply with all applicable laws and regulations, and to refrain from any unauthorized use or violation of third-party rights.

2. Modifications: Provider reserves the right, at its sole discretion, to modify or replace these Terms at any time. Revised terms will become effective upon posting. It is the user’s responsibility to review the Terms periodically for changes. Continued use of services constitutes acceptance of the modified Terms.

3. Use of Services: Services are provided for personal or internal business use only. Users agree not to:
a. Reproduce, duplicate, copy, sell, resell, or exploit any portion of the services;
b. Engage in unauthorized data mining, scraping, or other extraction methods;
c. Transmit any viruses, malware, or harmful code;
d. Interfere with or disrupt the integrity or performance of services;
e. Violate any applicable laws or regulations; or
f. Infringe upon the rights of third parties, including intellectual property rights.

4. Registration and Account Security: Certain features may require registration. Users must provide accurate, current, and complete information and maintain the security of their access credentials. Users are responsible for all activities that occur under their account and must notify Provider immediately if unauthorized use is suspected.

5. Intellectual Property: All content, trademarks, service marks, logos, and proprietary materials are owned by Provider or its licensors and are protected by applicable intellectual property laws. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use services solely for the purposes permitted under this Agreement. Any unauthorized use or reproduction is strictly prohibited.

6. Payment and Fees: If services require payment of fees, the applicable fees, billing cycles, and payment methods will be detailed during the registration or purchase process. Fees are non-refundable unless otherwise stated. Provider reserves the right to change fee structures upon prior notice. Failure to pay any fees when due may result in suspension or termination of services.

7. Termination: Provider may suspend or terminate user access for violation of these Terms or for any reason in its discretion. Upon termination, all licenses and rights granted to the user will immediately cease, and the user must discontinue use of services. Any provision that by its nature should survive termination will survive, including but not limited to intellectual property, warranty disclaimers, indemnification, and limitation of liability.

8. Disclaimers: Services are provided on an “AS IS” and “AS AVAILABLE” basis. Provider makes no representations or warranties of any kind, express or implied, regarding the reliability, accuracy, availability, or suitability of services. Use of services is at the user’s own risk.

9. Limitation of Liability: To the maximum extent permitted by law, Provider and its affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from or in connection with these Terms, including lost profits, loss of data, or business interruption. In no event shall Provider’s total liability exceed the amount paid by the user, if any, during the twelve (12) months preceding the event giving rise to liability.

10. Indemnification: Users agree to indemnify, defend, and hold harmless Provider, its officers, directors, employees, agents, affiliates, and licensors from and against all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected to their use of services or violation of these Terms.

11. Governing Law and Dispute Resolution: These Terms are governed by applicable statutes and regulations. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration institution, unless otherwise required by law.

12. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13. Entire Agreement: These Terms, together with any referenced policies or documents, constitute the entire agreement between the user and Provider with respect to services, superseding any prior agreements or understandings.
